These Terms of Sale (the “Terms”) govern every purchase made through sunpot.co and its payment page pay.sunpot.co (together, the “Website”). Please read them before you pay: paying an invoice means you accept these Terms.

02Products
We sell tools for businesses that accept cryptocurrency:
- Treasury Kit — digital documents: policies, wallet and multisig guides, ledger template, compliance checklist;
- Till “1-click” — a 12-month service: your own isolated SunpotPay instance (built on open-source software) hosted by us, with setup, updates, monitoring and support (see Section 8);
- Accounting — a 12-month online service at accounting.sunpot.co: a ledger of your crypto payments built from view-only wallet data (Bitcoin xpub, USDT addresses on TRON), each payment valued at the exchange rate of its day, with CSV export (see Section 8);
- Sunpot Autopilot — AI + n8n implementation for businesses: 40 workflows (digital files) together with services — 12 implementations by our team, 60 days of guidance from the kickoff call and 12 months of updates. Autopilot is additionally governed by the Sunpot Autopilot Terms, which prevail for Autopilot where they differ from these Terms. Autopilot is not an accounting system;
- Sunpot Invoices — a web cabinet at invoice.sunpot.co for issuing invoices to your clients: brand profiles, a client list, numbered invoices as PDF and a public invoice page with a QR code. USD 800, paid once, lifetime access, no subscription and no renewals (see Section 9);
- Bundles of the above at a combined price.
The contents, tiers and prices of each product are described on the Website at the time of your order.
03Order and acceptance
3.1. You place an order by choosing a product and paying the invoice generated for it. No account is required.
3.2. The contract between you and Sunpot is concluded when your payment is confirmed on the blockchain (Section 4.4). Payment of the invoice is acceptance of these Terms, the Refund Policy and the Privacy Policy.
3.3. You confirm that you are at least 18 years old and, if you buy for a business, that you are authorised to act for it.
04Prices and payment
4.1. Prices are set in US dollars (USD). One-time prices apply unless a price is marked as annual.
4.2. Payment is accepted only in the cryptocurrencies and networks offered on the invoice. The amount in cryptocurrency is calculated at the exchange rate shown on the invoice; the rate is fixed for the validity period shown on the invoice. If the invoice expires unpaid, request a new one.
4.3. You must send the exact amount, in the asset and on the network stated on the invoice, to the address on the invoice. Network fees are paid by you. Payments sent to a wrong address, in an unsupported asset or on an unsupported network may be lost for good; we cannot reverse blockchain transactions.
4.4. Payment is deemed made when the transaction receives the number of network confirmations required by the invoice. Underpaid invoices are not fulfilled until the balance is paid; over- and underpayments are handled under the Refund Policy.
4.5. You are responsible for any taxes and charges that apply to your purchase in your own country.
05Delivery
5.1. Digital products (Treasury Kit and similar) are delivered immediately after payment confirmation: you are taken to a download page, and, if you gave us an e-mail address, the links are also sent by e-mail.
5.2. Accounting: we open your account within 48 hours of payment confirmation and send a sign-in link to the e-mail address you gave at checkout. If you did not give an e-mail address, write to support@sunpot.co with your invoice number.
5.3. A Till instance is made available within 24 hours after payment confirmation and receipt of the setup details we ask you for.
5.4. Sunpot Invoices: your cabinet at invoice.sunpot.co opens automatically once your payment is confirmed, and a sign-in link is sent to the e-mail address you gave at checkout. If nothing arrives within a few hours, write to support@sunpot.co with your invoice number and we will open the cabinet by hand. We do the same if you paid without giving an e-mail address.
5.5. By paying, you ask us to start delivery immediately. Your right to a refund for digital content is set out in the Refund Policy.
06Licence to digital products
6.1. All rights in the Treasury Kit and other materials we create remain with Sunpot. On payment you receive a non-exclusive, non-transferable, perpetual licence to use them within one business (one legal entity or sole trader), on any number of your own devices and servers.
6.2. You may adapt the materials for your own needs and share them with your own staff, accountant or contractors who work for you.
6.3. You may not resell, publish or distribute the materials or any part of them (including modified versions), include them in products you sell, or use them to provide services to third parties without a separate written agreement with us. Use by several legal entities requires a licence for each.
6.4. The open-source software SunpotPay is built on, n8n and other third-party software are provided under their own licences; these Terms do not change those licences.
07Non-custodial nature
We never hold your funds and never see your private keys.
7.1. Sunpot does not receive, hold or transfer funds or crypto assets of the Customer or the Customer’s buyers. Our tools connect only to the extended public key (xpub) or other view-only access of your wallet. An xpub can show incoming payments and generate receiving addresses but cannot move funds. Your buyers’ payments go directly to your wallet.
7.2. Sunpot is not a bank, payment service provider, money transmitter, exchange or crypto-asset service provider, and does not act as an intermediary in your payments.
7.3. Never send us your seed phrase or private keys. No one from Sunpot will ever ask for them.
08Till and Accounting service terms
8.1. Term and renewal. The Till is provided for 12 months from activation. We send a renewal invoice 14 days before the term ends. If it is not paid, the service keeps running for a 14-day grace period and is then suspended; your configuration is kept for 60 days and restored when you pay.
8.2. Service level. Our target availability is 99.5% per calendar month, excluding scheduled maintenance announced at least 24 hours ahead (a window of up to 60 minutes, at night UTC). If availability falls below this target for two months in a row, you may end the service and receive a pro-rata refund.
8.3. Support is provided in writing only, by e-mail to support@sunpot.co, with a reply within 48 hours on business days.
8.4. Your data and exit. On request we export your configuration so you can move the till to your own infrastructure, at no extra charge.
8.5. Suspension. We may suspend the service if it is used in breach of Section 10, after notice and 7 days to cure the breach; in clearly unlawful cases — immediately.
8.6. Accounting: term and renewal. Accounting is provided for 12 months from the date of payment; if we open your account later than 48 hours after payment confirmation, the term is extended by the delay. We send a renewal reminder with a payment link 14 days and 3 days before the term ends. If you do not renew, the service keeps working for a 14-day grace period; the account then becomes read-only: new payments are no longer recorded, but you can still sign in, view and export your data.
8.7. How entries are valued. The service reads public blockchain data for the wallets you add and records each payment with the exchange rate of its day: crypto to US dollars from public price sources (such as CoinGecko, with Kraken as a fallback), and US dollars to your report currency at the European Central Bank reference rate (on weekends and holidays — the last published rate). A recorded value is not recalculated retroactively unless you ask for it. If no rate is available, the entry is marked and completed later. These values are a record-keeping aid: which rates apply to your tax reporting is for your accountant to decide (Section 11).
8.8. Availability. Accounting depends on public blockchain and price data providers. We keep the service running and fix faults, but we give no availability guarantee for it; when a provider is unavailable, new entries may appear with a delay.
8.9. Your data and exit. You can download your ledger as CSV at any time. After the account becomes read-only, we keep your data for 12 months so that you can renew or export it; we then delete it after notifying you by e-mail 30 days in advance, or earlier on request. Sections 8.3 (support) and 8.5 (suspension) apply to Accounting as well.
09Sunpot Invoices
9.1. What it is. Sunpot Invoices is a web cabinet at invoice.sunpot.co. In it you create a brand profile (your own company details, logo and invoice-number prefix), keep a list of your clients and issue invoices. Numbering follows the pattern “PREFIX-YEAR-001” and starts again each January. Every invoice can be downloaded as a PDF in one of three templates, in English or Russian, and has a public page with a QR code. You can record partial payments, save payout addresses, and use tax presets, discounts and payment terms.
9.2. Lifetime access. Sunpot Invoices is paid for once, at USD 800. There is no subscription, no renewal invoice and no expiry date: the cabinet stays open to you for as long as we offer the product. Section 8.3 (support) applies to Sunpot Invoices as well. Because this is a one-time purchase with no term, suspension works differently here: we suspend access only for clearly unlawful use. If we ever suspend your access for any other reason and cannot resolve it with you within 30 days, we refund what you paid for Sunpot Invoices.
9.3. Availability. We keep the service running and fix faults, but we give no availability guarantee for it.
9.4. Your invoices are your responsibility. You decide what goes on an invoice, and you are responsible for its content and legal correctness — the details, the amounts, the taxes and anything your own rules require. We are not tax advisers and we do not check VAT or invoicing rules for you. The tax presets for 16 countries are a convenience, checked in September 2026; confirm the rates and wording that apply to you before you send an invoice (Section 11).
9.5. Not a payment processor and not an accounting system. The cabinet does not connect to a wallet, does not read the blockchain and does not detect payments. Payment status is set by you: you mark an invoice as paid, in full or in part. Payout addresses you save are public addresses only; we never hold funds or keys (Section 7).
9.6. Your data and exit. You can download any invoice as a PDF at any time, and your brand profiles, clients and invoices stay available to you while your account exists.
9.7. If we discontinue the product. If we ever stop offering Sunpot Invoices, we will tell you by e-mail in advance, and your data will stay available for export for at least 12 months from that notice.
10Your responsibilities
You agree that:
- you will use our products only for lawful business, including the sale of your own goods and services;
- you will not use them for activities that require a licence you do not hold (for example accepting payments on behalf of third parties, currency exchange or gambling), for unlawful goods or content, or to deal with sanctioned persons or territories;
- you are not a sanctioned person and are not acting for one;
- you alone are responsible for keeping your seed phrase, keys and passwords safe, for your taxes and reporting, and for your own terms with your buyers. Document templates we provide are samples and should be reviewed by your lawyer for your jurisdiction.
11No advice
Our products are practical tools and templates. They are not financial, investment, tax, accounting or legal advice. Whether your records, policies and documents meet the rules of your jurisdiction must be confirmed by your own advisers.
12Warranties and liability
12.1. We will deliver products that match their description on the Website. Apart from that, products and services are provided “as is”, including third-party open-source software, to the extent permitted by law.
12.2. We are not liable for: loss of funds caused by compromise or loss of your keys, seed phrase or passwords; actions of your buyers; exchange-rate changes; outages of blockchain networks, exchanges, rate providers or other third-party services; decisions you make based on data from our tools.
12.3. We are not liable for indirect or consequential loss, including loss of profit, revenue or data. Our total liability is limited to the amount you paid for the product that caused the claim; for the Till and Accounting — to the amount paid in the 12 months before the claim; for Sunpot Invoices — to the amount you paid for it.
12.4. Nothing in these Terms limits liability that cannot be limited by law, or the mandatory rights of consumers.
13Refunds and privacy
Refunds are governed by the Refund Policy. How we handle personal data is described in the Privacy Policy. Both form part of these Terms.
14Governing law and disputes
14.1. These Terms and any dispute connected with them are governed by the laws of the British Virgin Islands.
14.2. Please write to us first: we will try to resolve any dispute in good faith. If it is not resolved within 30 days, it will be submitted to the courts of the British Virgin Islands.
14.3. If you buy as a consumer, you keep the protection of the mandatory laws of your country of residence, and your right to bring a claim in the courts where mandatory law allows it.
15Miscellaneous
15.1. We may update these Terms by publishing a new version on this page. Each order is governed by the version in force on the date of payment. For the Till, Accounting and Sunpot Invoices, material changes are announced by e-mail 30 days in advance; continued use after that date means consent.
15.2. If any provision is found invalid, the rest of the Terms remain in force.
15.3. These Terms are published in English and Russian. If the versions differ, the English version prevails.
